1. INTRODUCTION

1.1. These Terms and Conditions ("Terms") govern your use of the Protect A Plate platform ("Platform", "Service", "we", "us", "our") operated by Protect A Plate ("Company", "we", "us", "our"), a company registered in the United Kingdom.

1.2. By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Platform.

1.3. These Terms apply to all users of the Platform, including but not limited to:

  • Customers who register number plates for protection
  • Manufacturers who use the Platform to verify plates before manufacturing
  • Administrators who manage the Platform

1.4. We may update these Terms from time to time. The date of the last update is shown at the top of this document. Your continued use of the Platform after changes are made constitutes acceptance of the updated Terms.

2. DEFINITIONS

2.1. “Customer” means an individual or entity that registers a number plate for protection services on the Platform.

2.2. “Manufacturer” means a business entity that is approved and verified by us to use the Platform for plate verification purposes.

2.3. “Number Plate” or “Plate” means a vehicle registration plate issued by the Driver and Vehicle Licensing Agency (DVLA) or equivalent authority.

2.4. “Cloning” means the unauthorised duplication or use of a number plate on a different vehicle.

2.5. “Subscription” means the paid service plan that provides access to our protection and monitoring services.

2.6. “Background Check” means the verification process that Manufacturers must undergo to be approved for Platform access.

3. SERVICE DESCRIPTION AND LIMITATIONS

3.1. Nature of Service: Protect A Plate provides an information and notification service that:

  • Allows Customers to register their number plates
  • Provides Manufacturers (who are verified and approved) with access to check registered plates before manufacturing
  • Sends alerts and notifications to Customers when potential cloning attempts are detected through our network of participating Manufacturers

3.2. IMPORTANT LIMITATIONS AND DISCLAIMERS:

3.2.1. No Guarantee of Prevention:

  • We CANNOT and DO NOT guarantee that number plate cloning will be prevented or stopped.
  • Our Service provides INFORMATION ONLY and is not a security or prevention system.
  • Cloning may occur through Manufacturers who are not part of our Platform, through other means, or despite our monitoring efforts.

3.2.2. Manufacturer Network Limitations:

  • Our Service only provides information based on checks performed by Manufacturers who are: (a) Registered and approved on our Platform; and (b) Have completed our background check and verification process
  • We have no control over Manufacturers who are not part of our Platform.
  • We cannot guarantee that all legitimate Manufacturers will join our Platform.
  • Information provided is only as current as the last check performed by a participating Manufacturer.

3.2.3. Detection Limitations:

  • Detection of potential cloning attempts depends on Manufacturers using our Platform to verify plates before manufacturing.
  • We cannot detect cloning that occurs through non-participating Manufacturers or other means.
  • Alerts and notifications are based on information available to us and may not be comprehensive or complete.

3.2.4. No Liability for Cloning:

  • We accept NO LIABILITY for any cloning that occurs, whether detected or undetected.
  • We are not responsible for any losses, damages, or consequences arising from number plate cloning.
  • Our Service is provided "as is" and "as available" without warranties of any kind.

3.3. Service Availability: We do not guarantee that the Platform will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities.

4. USER ACCOUNTS AND REGISTRATION

4.1. Account Creation: To use certain features of the Platform, you must create an account by providing accurate, current, and complete information.

4.2. Account Security: You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use of your account

4.3. Account Termination: We reserve the right to suspend or terminate your account at any time if you breach these Terms or engage in fraudulent, illegal, or harmful activities.

5. CUSTOMER TERMS

5.1. Registration of Plates:

  • Customers may register number plates for monitoring services
  • You must be the legal owner or authorised representative of the vehicle associated with the number plate
  • You must provide accurate information and documentation as required

5.2. Subscription Plans:

  • We offer various subscription plans (Basic, Premium, Enterprise) with different features and pricing
  • Subscription fees are payable in advance for the selected billing period (monthly or yearly)
  • Current pricing is displayed on our Platform and may be updated from time to time

5.3. Payment Terms:

  • All subscription fees are non-refundable except as required by UK consumer law
  • Payments are processed securely through third-party payment processors
  • You authorise us to charge your payment method for subscription fees
  • If payment fails, your subscription may be suspended or cancelled

5.4. Cancellation and Refunds:

  • You may cancel your subscription at any time through your account settings
  • Cancellation will take effect at the end of your current billing period
  • Refunds are only available in accordance with UK consumer protection laws, including your right to cancel within 14 days of purchase (cooling-off period)
  • No refunds will be provided for partial billing periods

5.5. Customer Obligations:

  • You must provide accurate and truthful information
  • You must not use the Service for fraudulent or illegal purposes
  • You must not attempt to manipulate or interfere with the Platform's detection systems

6. MANUFACTURER TERMS

6.1. Approval Process:

  • Manufacturers must apply for Platform access and undergo our verification process
  • Approval is at our sole discretion
  • Manufacturers must complete background checks and provide required documentation
  • We reserve the right to reject any application without providing reasons

6.2. Background Checks:

  • All Manufacturers must undergo background checks before being approved
  • Background checks may include verification of business registration, compliance history, and other factors
  • Approval is conditional on passing background checks to our satisfaction

6.3. Manufacturer Obligations:

  • Manufacturers must use the Platform to verify plates before manufacturing
  • Manufacturers must comply with all applicable laws and regulations
  • Manufacturers must maintain accurate records and comply with our compliance requirements
  • Manufacturers must not manufacture plates for stolen vehicles or unauthorised purposes

6.4. Compliance and Monitoring:

  • We monitor Manufacturer activity and compliance scores
  • Failure to comply with these Terms or applicable laws may result in immediate termination of access
  • We reserve the right to audit Manufacturer activity and records

6.5. Termination of Manufacturer Access:

  • We may suspend or terminate Manufacturer access at any time for breach of these Terms or failure to maintain compliance standards
  • Termination does not affect our right to pursue legal remedies

7. INTELLECTUAL PROPERTY

7.1. Platform Ownership: All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, and software, are owned by us or our licensors and are protected by UK and international copyright, trademark, and other intellectual property laws.

7.2. User Content: By submitting content to the Platform, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content for the purpose of providing the Service.

7.3. Restrictions: You must not:

  • Copy, modify, or distribute Platform content without our written permission
  • Use our trademarks or branding without authorisation
  • Reverse engineer or attempt to extract source code from the Platform

8. DATA PROTECTION AND PRIVACY

8.1. Privacy Policy: Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to our data practices as described in the Privacy Policy.

8.2. GDPR Compliance: We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. You have certain rights regarding your personal data, including:

  • Right to access your personal data
  • Right to rectification of inaccurate data
  • Right to erasure ("right to be forgotten")
  • Right to restrict processing
  • Right to data portability
  • Right to object to processing

8.3. Data Security: We implement appropriate technical and organisational measures to protect personal data, but we cannot guarantee absolute security.

9. LIMITATION OF LIABILITY

9.1. EXCLUSION OF WARRANTIES:

  • THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

9.2. LIMITATION OF LIABILITY:

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW, WE SHALL NOT BE LIABLE FOR:

  • (a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • (b) ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • (c) ANY DAMAGES ARISING FROM NUMBER PLATE CLONING OR RELATED INCIDENTS
  • (d) ANY FAILURE TO DETECT OR PREVENT CLONING ATTEMPTS
  • (e) ANY RELIANCE ON INFORMATION PROVIDED THROUGH THE PLATFORM

9.3. CAP ON LIABILITY: Our total liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim, or GBP 100, whichever is greater.

9.4. EXCEPTIONS: Nothing in these Terms excludes or limits our liability for:

  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under UK law

10. INDEMNIFICATION

10.1. You agree to indemnify, defend, and hold harmless Protect A Plate, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • Any content you submit to the Platform

11. PROHIBITED USES

11.1. You must not use the Platform:

  • For any unlawful purpose or in violation of any applicable laws
  • To commit fraud or engage in deceptive practices
  • To harm, threaten, or harass others
  • To transmit viruses, malware, or other harmful code
  • To attempt to gain unauthorised access to the Platform or other users' accounts
  • To interfere with or disrupt the Platform's operation
  • To collect or harvest information about other users
  • To impersonate any person or entity

12. TERMINATION

12.1. Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

12.2. Termination by Us: We may suspend or terminate your access to the Platform immediately, without notice, if:

  • You breach these Terms
  • You engage in fraudulent or illegal activities
  • We are required to do so by law
  • We decide to discontinue the Platform or your access to it

12.3. Effect of Termination: Upon termination:

  • Your right to use the Platform will immediately cease
  • We may delete your account and associated data
  • Any outstanding fees remain due and payable
  • Provisions that by their nature should survive termination will remain in effect

13. DISPUTE RESOLUTION

13.1. Governing Law: These Terms are governed by and construed in accordance with the laws of England and Wales.

13.2. Jurisdiction: Any disputes arising from or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3. Alternative Dispute Resolution: Before commencing legal proceedings, you agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, you may be required to attempt mediation before pursuing court action.

14. GENERAL PROVISIONS

14.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform.

14.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3. Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.4. Assignment: You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign or transfer these Terms without restriction.

14.5. Notices: We may provide notices to you via email, through the Platform, or by other means. Notices are deemed received when sent.

14.6. Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, cyber attacks, or government actions.
